Our research maintains a WAIT rating on CG, as the stock at ~$59 already prices in substantial growth and the wealth push is just one of many moving parts. The core thesis remains unchanged: Carlyle needs to consistently deliver >12% FRE growth and realize its carry backlog to justify the current valuation.
Implication
The acquisition reinforces Carlyle's pivot to wealth management, adding a platform that can attract high-net-worth assets and generate recurring management fees. Combined with strong inflows in secondaries and credit, this could help Carlyle reach its upgraded 2025 FRE growth target of at least 10%. However, integration risk and the cost of technology investments mean the incremental profitability may take time to materialize. Moreover, the deal does little to address the persistent overhang of weak buyout realizations and the uncertain Lukoil transaction, which continue to depress earnings quality. Therefore, we remain on the sidelines until we see clearer evidence that the wealth, credit, and secondaries engines can drive durable double-digit FRE growth and stable distributable earnings.
