Integration of two lending platforms—especially Kiavi's specialized RTL underwriting and servicing—carries operational risk that could temporarily distract management from the core HELOC and first-lien expansion roadmap. Our previous 'Potential Buy' rating was predicated on Figure Connect sustaining volume above $1.5B and maintaining profitability; the Kiavi deal does not directly alter those core checkpoints but introduces new variables around acquisition financing and integration costs. We now assign a lower probability to the base case until Figure discloses deal economics and demonstrates that Kiavi volumes contribute to, rather than dilute, EBITDA margins.
