Aemetis swings to profit on one-time 45Z tax credit, but core losses persist

What happened

Aemetis reported Q3 2026 revenue of $88.2 million, up 49% year-over-year, and net income of $5.2 million versus a loss a year earlier, driven primarily by $24.7 million in Section 45Z production tax credit income including an $11 million first-half true-up. Excluding that credit, operating results would have been deeply negative, consistent with the company's history of core operating losses that the DeepValue report flagged as a key concern. RNG sales volume grew 39% to 158,200 MMBtu and two new dairy digesters began operating in October, extending the biogas network to 14 digesters across 17 dairies. However, the master report's assessment of acute balance-sheet distress remains valid: as of the latest filings, the company had negative equity, over $286 million of debt due within 12 months, and substantial doubt about its ability to continue as a going concern. The Q3 2026 results do not address the refinancing overhang or demonstrate sustainable operating profitability absent policy credits.

Implication

Longer-term, Aemetis still faces a critical need to refinance its maturing debt and achieve positive operating cash flow without relying on policy credits, which are subject to political and regulatory risk. The RNG expansion is a positive step, but it is small relative to the company's obligations, and the Riverbank SAF/CCUS projects require significant capital that may not be available on acceptable terms. The 45Z credit, while currently supportive, could be altered or reduced, undermining the recent profitability. Until the company demonstrates several quarters of credit-excluding positive operating income and a completed refinancing, the equity remains speculative. Investors should demand a substantial margin of safety or avoid the stock given the asymmetric downside.

Thesis delta

The thesis is unchanged: STRONG SELL. The Q3 2026 results are superficially positive but driven by a one-time tax credit true-up; core operations remain unprofitable and the balance sheet distress persists. The RNG growth is encouraging but insufficient to overcome the debt overhang and going-concern risk.
